Welcome to Liaison. We hope that you enjoy your visit and find that using our website to learn about Liaison, our skincare products, and our direct selling program is easy, productive and fun.

Before using or registering with the Liaison website, please read the following Terms and Conditions (“Terms”) carefully. These Terms govern your access to and use of the Liaison Online website and any products, services, software, tools, applications, features or functionality offered or made available on or through the website, including any Liaison Independent Consultant personal web pages provided through the website, (the “Site”). Your access to and use of the Sites is expressly conditioned on your acceptance of and compliance with these Terms. If you do not accept these Terms, you will not be permitted to access or use the Site, and any violation of these Terms may result in termination of your ability to access and use the Site.

In order to use the Site, you must be at least 13 years of age. You represent that you are at least 13 years old. If you are not at least 13 years of age, please do not access, use or register with the Site.

We reserve the right at any time to change all or any part of these Terms; change the Site, including by eliminating or discontinuing any content on or feature of the Site; and change any fees or charges for use of the Site. Any changes we make will be effective immediately upon notice, which we may provide by any means including, without limitation, posting on the Site or by electronic mail. Your continued use of the Site after such notice will be deemed acceptance of such changes. Be sure to return to this page periodically to ensure familiarity with the most current version of these Terms.

If you are a Liaison Independent Consultant, your access to and use of the Site (including your personal web page, if any) is also governed by the terms and conditions of your Consultant Agreement, including the Liaison Policies and Procedures.

As used in these Terms, “we,” “our,” “us” and “Liaison” refers to Liaison, including its subsidiaries and affiliates.

*1. Registration*

When and if you set up an account with us and register to place orders through the Site, you agree to (a) provide accurate, current and complete information about yourself as prompted by our registration form (including your email address), and (b) maintain and update your information (including your email address) to keep it accurate, current and complete. You acknowledge that, if any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate your access to and use of the Site. As part of the account set-up and registration process, you may be asked to select a username and password. We may refuse to grant you a username for any reason in our sole discretion, including in the event that we determine that such username impersonates someone else, is illegal, vulgar, or otherwise offensive, or is protected by trademark or other proprietary rights law, or otherwise may cause confusion. You will be responsible for the confidentiality and use of your username and password and agree not to transfer or resell your use of or access to the Site to any third party. YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND FOR ANY AND ALL ACTIVITIES (INCLUDING PURCHASES, AS APPLICABLE) THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

*2. Your Use of the Site*

Subject to and conditioned upon your compliance with these Terms, we grant to you a non-exclusive, non-transferable, non-sublicensable, limited right and license to access and use the Site, including any images, text, graphics, sounds, data, links and other materials incorporated into the Site (other than your Submissions, as defined in Section 3 below), solely as made available by us and solely for your own personal purposes. The Site, including all such materials and all intellectual property rights therein, remain the property of Liaison or its licensors or suppliers. Except as expressly authorized by these Terms, you may not use, reproduce, distribute, modify, transmit or publicly display any portion of the Site without the written consent of Liaison. While using the Site, you agree not to:
* Defame, abuse, harass, stalk, threaten or otherwise violate the rights of others, including without limitation others’ privacy rights or rights of publicity;
* Impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with any person or entity, or use any fraudulent, misleading or inaccurate email address or other contact information;
* Restrict or inhibit any other user from using the Site, including, without limitation, by means of “hacking” or defacing any portion of the Site;
* Violate any applicable laws or regulations;
* Express or imply that any statements you make are endorsed by us, without our prior written consent;
* Upload to, transmit through, or display on the Site (a) any material that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or infringes our or any third party’ intellectual property or other rights; (b) any confidential, proprietary or trade secret information of any third party; or (c) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication (except as otherwise expressly permitted by us);
* Engage in spamming or flooding;
* Transmit any software or other materials that contain any viruses, worms, trojan horses, defects, date bombs, time bombs or other items of a destructive nature;
* Modify, adapt, sublicense, translate, sell, reverse engineer, decompile or disassemble any portion of the Site;
* Remove any copyright, trademark or other proprietary rights notices contained in or displayed on any portion of the Site;
* “Frame” or “mirror” any portion of the Site, or link to any page of or material on the Site other than the URL located at [Liaison Growth Bond](https://herliaison.com/) or the URLs provided by us to you for such purposes as part of the Site, without our prior written authorization;
* Use any robot, spider, site search/retrieval application or other manual or automatic device or process to retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of the Site; or
* Harvest or collect information about users of the Site without their express consent.
We may terminate your access to and use of the Site immediately if you fail to comply with the above rules.

*3. Your Submissions*

In the event that you post or upload to the Site, or otherwise submit to Liaison as part of your use of the Site, any materials including, without limitation, photographs and other images, text, graphics, sounds, data, links and other materials (collectively, “Submissions”), you will retain ownership of such Submissions, and you hereby grant us and our designees a worldwide, non-exclusive, sublicensable (through multiple tiers), assignable, royalty-free, fully paid-up, perpetual, irrevocable right to use, reproduce, distribute (through multiple tiers), create derivative works of, and publicly display and perform such Submissions, in connection with the Site. Except for the foregoing license, we do not claim ownership of any copyright in your Submissions. You represent, warrant and covenant that you own or otherwise possess all necessary rights with respect to your Submissions, and that your Submissions do not and will not infringe, misappropriate, use or disclose without authorization, or otherwise violate any intellectual property or proprietary right of any third party, and are not unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable.

None of the Submissions will be subject to any obligation, whether of confidentiality, attribution or otherwise, on our part and we will not be liable for any use or disclosure of any Submissions. You acknowledge and agree that we may (but are not obligated to) do any or all of the following, at our discretion: (a) monitor and/or filter any Submissions (including without limitation by means of blocking or replacing expletives or other language that may be deemed harmful or offensive); (b) alter, remove, or refuse to send, transmit or otherwise use any Submission (including, without limitation, by suspending the processing and shipping of any order relating to any Submission); and/or (c) disclose any Submissions, and the circumstances surrounding the transmission or use thereof, to any third party in order to operate the Site; to protect our affiliates, distributors, partners, licensors, advertisers, sponsors, and users; to comply with legal obligations or governmental requests; to enforce these Terms; or for any other reason or purpose.

We recommend that you keep back-up copies of your Submissions on your hard drive or other personal system, as the Site is not intended to be used as a back-up solution for storing your Submissions.

*4. Forums*

The Site may permit users to share their Submissions with other users, including through our user forums (“Forums”). Some Forum participants may use anonymous screen names and may have no other connection with Liaison. A large volume of material is available in our Forums and Forum participants may occasionally post messages or make statements, whether intentionally or unintentionally, that are inaccurate, misleading or deceptive. We neither endorse nor are responsible for such messages or statements, or for any opinion, advice, information or other utterance made or displayed on the Site by third parties, whether such third parties are users of the Site or others. The opinions expressed in the Forums reflect solely the opinions of the participants and may not reflect the opinions of Liaison. We are not responsible for any errors or omissions in articles or postings, for hyperlinks embedded in messages or for any results obtained from the use of such information. Under no circumstances will we or our affiliates, suppliers or agents be liable for any loss or damage caused by your reliance on such information obtained through the Site. We may, but have no obligation to, monitor the Forums and any materials displayed, transmitted or otherwise made available on or through the Forums.

*5. Making Purchases*

If you wish to purchase any products or services through the Site, we will ask you to supply certain information applicable to your purchase, including, without limitation, payment and other information. All information that you provide to us or our third party payment processor must be accurate, current and complete. You agree to pay all charges incurred by you or any users of your account and credit card (or other applicable payment mechanism) at the prices in effect when such charges are incurred. You will also be responsible for paying any applicable taxes relating to your purchases. Verification of information applicable to a purchase may be required prior to our acceptance of any order. Price and availability of any products or services are subject to change without notice, and our current prices can be found on the Site. Title and risk of loss for any purchases pass to you upon our delivery to our carrier. We reserve the right to ship partial orders (at no additional cost to you), and the portion of any order that is partially shipped may be charged at the time of shipment. If you are a Liaison Independent Consultant, the terms of your Consultant Agreement, including the Liaison Policies and Procedures, also apply to your purchases through the Site.

*6. Product Information*

All material and information presented by Liaison is intended to be used for personal educational or informational purposes only. The statements made about products have not been evaluated by the U.S Food and Drug Administration and the results reported, if any, may not necessarily occur in all individuals. The statements and products are not intended to diagnose, treat, cure or prevent any condition or disease .All products should be used strictly in accordance with their instructions, precautions and guidelines. You should always check the ingredients for products to avoid potential allergic reactions. Use of the Site is not meant to serve as a substitute for professional medical advice: this Site is solely an online store for specialty beauty products. Please consult with your own physician or health care practitioner regarding the use of any goods, products or information received from the Site before using or relying on them. *7. Copyright Issues*

Liaison is committed to protecting copyrights and expects users of the Site to do the same. The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that any material used or displayed on or through the Site infringes your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. *8. Web Addresses (URLs)*

As part of the personal webpage program that Liaison offers to its Independent Consultants, we may provide you with access to and use of certain personalized pages on the Site and the corresponding web addresses (URLs) chosen by you. However, we do not guarantee the availability of any particular web page or URL, and we reserve the right, at any time and in our sole discretion, to reclaim, suspend, terminate and/or transfer any such web page or URL as described in the Consultant Agreement.

*9. Term and Termination*

These terms shall remain effective until terminated as set forth herein. We may immediately terminate these Terms, and/or your access to and use of the Site or any portion thereof, at any time and for any reason, with or without cause, upon notice to you. Upon termination of these Terms, you will cease all use of the Site. If you are a Liaison Independent Consultant, you may have different or additional rights and obligations with respect to use of the Site as set forth in your Consultant Agreement. Except for the license to access and use the Site granted to you in Section 2, the rights and obligations of the parties as set forth herein will survive termination.

*10. Third-Party Websites, Software and Sites*

The Site may direct you to websites operated by third parties and/or products and services offered by third parties, including the Liaison Mall (“Third Party Properties”). We have not reviewed all of the Third Party Properties to which you may be directed and we have no control over such Third Party Properties. We are not responsible for (a) the content and operation of such Third Party Properties, or (b) the privacy or other practices of such Third Party Properties. The fact that the Site directs you to such Third Party Properties does not indicate any approval or endorsement of any Third Party Properties. We direct you to such Third Party Properties only as a convenience. You are responsible for the costs associated with such Third Party Properties, including any applicable license fees and service charges. Accordingly, we encourage you to become familiar with the terms of use and practices of any such Third Party Properties.

*11. Mobile Services*

If you access the Site via your mobile phone (through an iPhone application, for example), we do not currently charge for this access. Please be aware that your carrier’s normal rates and fees, such as text messaging fees or data charges, will still apply.


*12. Access By Minors*

Pursuant to 47 U.S.C. Section 230 (d), as amended, we hereby notify you that parental control protections (such as computer hardware, software or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors.


*13. Notice for California Users*

*14. Indemnification*

You agree to indemnify, defend and hold us, our affiliates, distributors, partners, licensors, advertisers and sponsors, and our and their directors, officers, employees, consultants, agents and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees—except where prohibited by law) and other expenses that arise directly or indirectly out of or from (a) your breach of these Terms, including any violation of the rules set forth in Section 2 above; (b) your Submissions; and/or (c) your activities in connection with the Site.


*15. Disclaimer of Warranties*

THE SITE, INCLUDING ALL MATERIALS INCORPORATED THEREIN, IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, Liaison AND ITS SUBSIDIARIES, AFFILIATES, DISTRIBUTORS, PARTNERS, LICENSORS, ADVERTISERS, SPONSORS AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. Applicable law may not allow the exclusion of implied warranties, so the above exclusions may not apply to you. *16. Limitation of Liability*

YOU EXPRESSLY UNDERSTAND AND AGREE THAT NEITHER Liaison NOR ANY OF OUR SUBSIDIARIES, AFFILIATES, DISTRIBUTORS, PARTNERS, LICENSORS, ADVERTISERS OR SPONSORS, NOR OUR OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, AGENTS OR OTHER REPRESENTATIVES, ARE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS, LOSS OF DATA, LOST PROFITS, LOSS OF GOODWILL OR ANY OTHER INTANGIBLE LOSSES), EVEN IF Liaison HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, THE MAXIMUM LIABILITY OF Liaison ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SITEIS LIMITED TO THE AMOUNT YOU PAID TO US. IN ALL CASES, Liaison WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.


*17. Exclusions and Limitations*

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE EXCLUSIONS OF CERTAIN LIABILITY LIMITATIONS. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 14 (INDEMNITY), 15 (DISCLAIMER OF WARRANTIES) AND 16 (LIMITATION OF LIABILITY) MAY NOT APPLY TO YOU. IN PARTICULAR, IF YOU ARE A RESIDENT OF NEW JERSEY, SECTIONS 14, 15 AND 16 OF THESE TERMS AND CONDITIONS SHALL NOT APPLY TO YOU, NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN OR IN ANY LINKED, INCORPORATED OR OTHERWISE REFERENCED DOCUMENT, POLICY OR TERMS AND CONDITIONS.


*18. Fraud Protection Program*

As part of our order processing procedures, we screen all received orders for fraud or other types of unauthorized or illegal activity. We reserve the right to refuse to process an order due to suspected fraud or unauthorized or illegal activity. If such is the case, we may reject your order or our Sales Support department may call you at the phone number you provided (or use your email address) to confirm your order. We also reserve the right to cancel any accounts or refuse to ship to certain addresses due to suspected fraud or unauthorized illegal activity. We take these measures to protect our customers as well as ourselves from fraud or other unauthorized or illegal activity.


*19. Policy for Idea Submission*

Many of our customers are interested in submitting ideas and suggestions for products and services to be used at Liaison, either independently of, or in conjunction with, our internally developed concepts. We appreciate our customers’ interest in improving the Site and our products; however, please note that any such ideas or suggestions that you submit will be owned by Liaison, and you hereby irrevocably assign any intellectual property rights in such ideas and suggestions to Liaison. In the event that the foregoing assignment is held to be ineffective for any reason, your ideas and suggestions will be treated as Submissions, subject to the license granted to Liaison in Section 3 of these Terms. If you intend to retain any intellectual property rights in your ideas and suggestions (patent, trade secrets, copyright, trademark, etc.) please do not submit them to us without our prior written approval. If we are interested in pursuing any idea or suggestion of yours, we will contact you. Please note that an additional legal agreement may be required by Liaison in order to evaluate your idea or suggestion.

 

*20. Términos y condiciones del servicio de mensajes móviles*.

The Liaison mobile message service (the "Service") is operated by Liaison (“ Liaison ”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Liaison’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Liaison through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Liaison. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. If sending in the US or Canada, text the single keyword command STOP to +1 (833) 349-0954. If sending using an alphanumeric sender ID in the UK or Australia, click the unsubscribe link in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Liaison mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms. We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

*21. Miscellaneous*

These Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regards to its principles of conflicts of law. You agree to submit to the exclusive jurisdiction of any State or Federal court located in the County of San Francisco, California, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. If any provision of these Terms, or the application thereof to any person, place or circumstance, shall be held by a court of competent jurisdiction to be invalid, void or otherwise unenforceable, such provision shall be enforced to the maximum extent possible, or, if incapable of such enforcement, shall be deemed to be deleted from these Terms, and the remainder of these Terms and such provisions as applied to other persons, places and circumstances shall remain in full force and effect. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default, nor shall any delay or omission on the part of either party to exercise or avail itself of any right or remedy that it has or may have hereunder operate as a waiver of any right or remedy. This is the entire agreement between us relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements between us with respect to such subject matter. These Terms are not assignable, transferable or sublicensable by you except with our prior written consent. These Terms may not be modified or amended except as set forth in the introductory section of these Terms. Any heading, caption or section title contained in these Terms is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.

TÉRMINOS Y CONDICIONES DEL PROGRAMA DE MARKETING DE MENSAJES SMS/MMS

Liaison (en adelante, "Nosotros", "Nuestro") ofrece un programa de mensajería móvil (el "Programa"), que usted acepta utilizar y participar en él sujeto a estos Términos y Condiciones de Mensajería Móvil y Política de Privacidad (el "Acuerdo"). Al optar o participar en cualquiera de nuestros Programas, usted acepta y está de acuerdo con estos términos y condiciones, incluyendo, sin limitación, su acuerdo para resolver cualquier disputa con nosotros a través de un arbitraje vinculante e individual, como se detalla en la sección "Resolución de disputas" a continuación. Este Acuerdo se limita al Programa y no tiene por objeto modificar otros Términos y Condiciones o la Política de Privacidad que puedan regir la relación entre usted y Nosotros en otros contextos.

Decisión del usuario de participar en el Programa : El Programa permite a los Usuarios recibir mensajes móviles SMS/MMS al decidir formar parte del Programa, por ejemplo a través de formularios de inscripción en línea o basados en solicitudes. Independientemente del método de inclusión voluntaria que haya utilizado para unirse al Programa, usted acepta que este Acuerdo se aplica a su participación en el Programa. Al participar en el Programa, usted acepta recibir mensajes móviles de marketing pregrabados o de marcación automática en el número de teléfono asociado a su inclusión voluntaria, y entiende que no se requiere consentimiento para realizar cualquier compra a través de Nosotros. Si bien usted acepta recibir mensajes enviados mediante un marcador automático, lo anterior no debe interpretarse como una sugerencia o implicación de que alguno o todos Nuestros mensajes móviles se envíen mediante un sistema de marcación telefónica automática ("ATDS" o "marcador automático"). Pueden aplicarse tarifas de mensajes y datos. 


Exclusión voluntaria del usuario: Si usted no desea continuar participando en el Programa o ya no está de acuerdo con este Acuerdo, usted se compromete a responder DETENER, FINALIZAR, CANCELAR, DARSE DE BAJA o RENUNCIAR a cualquier mensaje de móvil de nosotros para optar por no participar en el Programa. Es posible que reciba un mensaje móvil adicional confirmando su decisión de no participar. Usted entiende y acepta que las opciones anteriores son los únicos métodos razonables para optar por no participar. Usted también entiende y acepta que cualquier otro método de exclusión, incluyendo, pero no limitado a, palabras de texto distintas a las establecidas anteriormente o a solicitar verbalmente a uno de nuestros empleados que lo elimine de nuestra lista, no es un medio razonable de exclusión.

Deber de notificar e indemnizar : Si en algún momento tiene la intención de dejar de utilizar el número de teléfono móvil que se ha utilizado para suscribirse al Programa, incluyendo la cancelación de su plan de servicio o la venta o transferencia del número de teléfono a otra parte, usted acepta que completará el proceso de exclusión voluntaria del usuario establecido anteriormente antes de poner fin a su uso del número de teléfono móvil. Usted entiende y acepta que su acuerdo para hacerlo es una parte material de estos términos y condiciones. Además, usted acepta que, si deja de utilizar su número de teléfono móvil sin notificarnos a NOSOTROS de dicho cambio, usted acepta que será responsable de todos los costos (incluidos los honorarios de los abogados) y las responsabilidades incurridas por Nosotros, o cualquier parte que ayude en la entrega de los mensajes móviles, como resultado de las reclamaciones presentadas por las personas a las que posteriormente se les asigne ese número de teléfono móvil. Este deber y acuerdo sobrevivirá a cualquier cancelación o terminación de su acuerdo de participación en cualquiera de nuestros programas.

USTED ACEPTA QUE DEBE INDEMNIZAR, DEFENDER Y LIBERARNOS DE CUALQUIER RECLAMACIÓN O RESPONSABILIDAD QUE RESULTE DE SU FALTA DE NOTIFICACIÓN DE UN CAMBIO EN LA INFORMACIÓN QUE USTED HA PROPORCIONADO, INCLUYENDO CUALQUIER RECLAMACIÓN O RESPONSABILIDAD EN VIRTUD DE LA LEY DE PROTECCIÓN DE LOS CONSUMIDORES DE TELEFONÍA, 47 U.S.C. § 227, et seq, O LEYES ESTATALES Y FEDERALES SIMILARES, Y CUALQUIER REGLAMENTO PROMULGADO EN VIRTUD DEL MISMO QUE RESULTE DE NUESTRO INTENTO DE COMUNICARNOS CON USTED AL NÚMERO DE TELÉFONO MÓVIL QUE USTED PROPORCIONÓ.

Descripción del programa: Sin limitar el alcance del Programa, los usuarios que opten por el Programa pueden esperar recibir mensajes relativos a la comercialización y venta de productos digitales y físicos, servicios y eventos.

Costo y frecuencia: Pueden aplicarse tarifas de mensajes y datos. El Programa implica mensajes móviles recurrentes, y se podrán enviar mensajes móviles adicionales periódicamente en función de su interacción con Nosotros.

Instrucciones de asistencia: Para obtener asistencia en relación con el Programa, envíe un mensaje de texto con la palabra "HELP" al número desde el que recibió los mensajes o envíenos un correo electrónico a [email protected]. Tenga en cuenta que el uso de esta dirección de correo electrónico no es un método aceptable para darse de baja del programa. Las cancelaciones deben realizarse de acuerdo con los procedimientos establecidos anteriormente.

 Divulgación de MMS: El Programa enviará mensajes SMS TM (mensajes de terminación) si su dispositivo móvil no es compatible con la mensajería MMS.

Nuestra renuncia de garantía: El Programa se ofrece "tal cual" y puede no estar disponible en todas las áreas en todo momento y puede no continuar funcionando en caso de que su proveedor de telefonía móvil realice cambios en el producto, el software, la cobertura u otros cambios. No nos hacemos responsables de los retrasos o fallos en la recepción de cualquier mensaje de móvil relacionado con este Programa. La entrega de mensajes móviles está sujeta a la transmisión efectiva de su proveedor de servicios inalámbricos/operador de red y está fuera de Nuestro control. T-Mobile no es responsable de los mensajes móviles demorados o no entregados.

Requisitos de los participantes: Usted debe tener su propio dispositivo inalámbrico, capaz de enviar y recibir mensajes, utilizar un proveedor de servicios inalámbricos participante y ser suscriptor de un servicio inalámbrico con servicio de mensajes de texto. No todos los proveedores de telefonía celular cuentan con el servicio necesario para participar. Comprueba las capacidades de tu teléfono para obtener instrucciones específicas sobre mensajería de texto.

Restricción de edad: Usted no puede usar la Plataforma si es menor de trece (13) años de edad. Si utiliza o interactúa con la Plataforma y tiene entre trece (13) y dieciocho (18) años de edad, debe tener el permiso de sus padres o tutores legales para hacerlo. Al usar o interactuar con la Plataforma, reconoce y acepta que no es menor de trece (13) años, tiene entre trece (13) y dieciocho (18) años y tiene el permiso de sus padres o tutores legales para usar o interactuar con la Plataforma, o es mayor de edad en su jurisdicción. Al usar o interactuar con la Plataforma, también reconoce y acepta que tiene permitido por la Ley Aplicable de su jurisdicción el usar y/o interactuar con la Plataforma.

Contenido Prohibido: Usted reconoce y acepta no enviar ningún contenido prohibido a través de la Plataforma. El contenido prohibido incluye:

- Cualquier actividad fraudulenta, calumniosa, difamatoria, escandalosa, amenazante, acosadora o de acoso;

- Contenido censurable, incluyendo blasfemia, obscenidad, lascivia, violencia, intolerancia, odio y discriminación por motivos de raza, sexo, religión, nacionalidad, discapacidad, orientación sexual o edad;

- Programas informáticos piratas, virus, gusanos, caballos de Troya u otros códigos dañinos;

- Cualquier producto, servicio o promoción donde sea ilegal que se reciba dicho producto, servicio o promoción;

- Cualquier contenido que implique y/o haga referencia a información personal de salud que esté protegida por la Ley de Transferencia y Responsabilidad de Seguro Médico ("HIPAA") o la Ley de Tecnología de la Información de Salud Clínica y Económica ("HITEC"); y

- Cualquier otro contenido que esté prohibido por la legislación aplicable en la jurisdicción desde la que se envía el mensaje.

Resolución de disputas: En el caso de que haya una disputa, reclamación o controversia entre usted y Nosotros, o entre usted y Stodge, LLC d/b/a Postscript o cualquier otro proveedor de servicios de terceros que actúe en Nuestro nombre para transmitir los mensajes móviles dentro del ámbito del Programa, que surja o esté relacionada con reclamaciones legales federales o estatales, reclamaciones de derecho común, este Acuerdo, o el incumplimiento, terminación, aplicación, interpretación o validez del mismo, incluyendo la determinación del alcance o aplicabilidad de este acuerdo para el arbitraje, tal disputa, reclamo o controversia será, en la mayor medida permitida por la ley, determinada por el arbitraje en Wilmington, Delaware ante un árbitro.

Las partes acuerdan someter la disputa a un arbitraje vinculante de acuerdo con las Reglas de Arbitraje Comercial de la Asociación Americana de Arbitraje ("AAA") que estén vigentes en ese momento. Salvo que se disponga lo contrario en el presente documento, el árbitro aplicará las leyes sustantivas del Circuito Judicial Federal en el que se encuentra la sede principal de Liaison, sin consideración alguna hacia su conflicto de leyes gobierna. Dentro de los diez (10) días naturales siguientes a la entrega de la demanda de arbitraje a una parte, las partes deben seleccionar conjuntamente un árbitro con al menos cinco años de experiencia en esa capacidad y que tenga conocimiento y experiencia en el tema de la controversia. Si las partes no se ponen de acuerdo aún con un árbitro y en un plazo de diez (10) días naturales, una parte puede solicitar a la AAA que nombre un árbitro que debe satisfacer el mismo requisito de experiencia. En el caso de una disputa, el árbitro decidirá la aplicabilidad e interpretación de este acuerdo de arbitraje de acuerdo con la Ley Federal de Arbitraje ("FAA"). Las partes también acuerdan que las normas de la AAA que rigen las Medidas de Protección de Emergencia se aplicarán en lugar de solicitar una medida cautelar de emergencia a un tribunal. La decisión del árbitro será definitiva y vinculante, y ninguna de las partes tendrá derecho a apelar, salvo las previstas en la sección 10 de la FAA. Cada parte asumirá su parte de los honorarios pagados por el árbitro y la administración del arbitraje; sin embargo, el árbitro tendrá la facultad de ordenar a una parte que pague la totalidad o una parte de dichos honorarios como parte de una decisión bien razonada. Las partes acuerdan que el árbitro tendrá la autoridad de adjudicar los honorarios de los abogados sólo en la medida expresamente autorizada por estatuto o contrato. El árbitro no tendrá autoridad para otorgar daños punitivos y cada una de las partes renuncia por la presente a cualquier derecho de buscar o recuperar daños punitivos con respecto a cualquier disputa resuelta por arbitraje. Las partes acuerdan arbitrar únicamente de manera individual, y este acuerdo no permite el arbitraje de clase ni ninguna reclamación presentada como demandante o miembro de clase en ningún procedimiento de arbitraje de clase o representativo. Salvo que la ley lo exija, ni una de las partes ni el árbitro podrán revelar la existencia, el contenido o los resultados de cualquier arbitraje sin el consentimiento previo por escrito de ambas partes, a menos que sea para proteger o ejercer un derecho legal. Si cualquier término o disposición de esta Sección es inválido, ilegal o inejecutable en cualquier jurisdicción, dicha invalidez, ilegalidad o inejecución no afectará a ningún otro término o disposición de esta Sección ni invalidará o hará inejecutable dicho término o disposición en cualquier otra jurisdicción. Si por alguna razón una disputa se lleva a juicio ante un tribunal en vez de en el arbitraje, las partes renuncian por la presente a cualquier derecho a un juicio con jurado. Esta disposición de arbitraje sobrevivirá a cualquier cancelación o terminación de su acuerdo de participación en cualquiera de nuestros Programas.

Misceláneo: Usted garantiza y declara ante Nosotros que tiene todos los derechos, poderes y autoridad necesarios para aceptar estos Términos y cumplir con sus obligaciones en virtud del presente Acuerdo, y que nada de lo contenido en este Contrato o en el cumplimiento de dichas obligaciones lo colocará en violación de cualquier otro contrato u obligación. El hecho de que alguna de las partes no ejerza en ningún aspecto algún derecho previsto en el presente documento no se considerará como una renuncia a ningún otro derecho en virtud del presente documento. Si alguna disposición de este Acuerdo se considera inaplicable o inválida, dicha disposición se limitará o eliminará en la medida mínima necesaria para que este Acuerdo permanezca en pleno vigor y efecto y sea aplicable. Cualquier nueva característica, cambio, actualización o mejora del Programa estará sujeta a este Acuerdo, a menos que se indique explícitamente por escrito. Nos reservamos el derecho de cambiar este Acuerdo de vez en cuando. Se le comunicará cualquier actualización de este Acuerdo. Usted reconoce su responsabilidad de revisar este Acuerdo de vez en cuando y estar al tanto de cualquier cambio. Al continuar participando en el Programa después de cualquiera de estos cambios, usted acepta este Acuerdo, tal como haya sido modificado.
